- Defining the scope of the carve-out and identifying all IT assets and systems involved.
- Developing a detailed IT carve-out plan aligned with the overall transaction timeline.
- Assessing dependencies between the parent company and the carved-out entity.
- Setting up a governance framework and assigning roles and responsibilities.
- Leverage internal and external expertise, including vendors and consultants.
IT Asset Inventory and Assessment
- Identifying and cataloging all IT assets, including hardware, software, licenses, and contracts.
- Evaluating data, applications, and systems critical to the business unit being carved out.
- Assessing the current state of IT infrastructure and any potential risks.
Ensuring Data Segregation and Migration through the relevant Application Teams and Data Owner
- Segregating data of the carved-out entity from the parent company’s systems.
- Ensuring compliance with data protection regulations.
- Migrating data to the new IT environment or transitional services environment.
Ensuring Infrastructure Separation through the relevant Infrastructure Teams
- Splitting IT infrastructure such as servers, networks, and cloud services.
- Setting up independent IT systems and environments for the new entity.
